Terms of Service

1. The Service

iQreply helps businesses and creators manage and reply to comments and direct messages on Facebook and Instagram, using artificial intelligence, automatically or with a person in the loop. We may add, change or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at team@iqreply.ai if you suspect unauthorized use.

3. Connected accounts (Facebook and Instagram)

To use core features you connect one or more Facebook Pages or Instagram accounts through Meta’s official login. By doing so you authorize iQreply to access those accounts and to read and respond to comments and messages on your behalf, according to the settings and automations you configure.

You are responsible for complying with Meta’s terms and policies for the accounts you connect, and for having the rights to grant us this access. You can disconnect an account at any time in Settings.

You are equally responsible for having a legal basis to process the data of the people who interact with those accounts, and for informing them as your applicable privacy laws require. For that data iQreply acts as a processor: we handle it on your behalf and under your instructions.

4. Your content and AI-generated content

You retain ownership of the content you provide and of the comments and messages you manage through the Service. You grant us a limited license to process that content solely to operate the Service for you.

The Service generates reply suggestions and messages using AI. These are suggestions: you are responsible for reviewing and for anything published from your accounts, including when you enable automation. AI output may be inaccurate or inappropriate, and you should not rely on it as professional advice.

5. Acceptable use

You agree not to use the Service to:

• Send spam, deceptive, harassing, hateful, or unlawful content, or to violate the rights of others.
• Violate Meta’s Platform Terms, Community Standards, or any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, interfere with its operation, or reverse engineer, resell or copy it except as permitted by law.
• Use the Service to process data you are not authorized to access.

6. Subscriptions, trials and billing

Paid plans are billed on a recurring basis (monthly or annual) through our payment processor, Stripe. Plans start with a free trial; if you do not cancel before the trial ends, your card is charged for the plan you selected. There are no usage charges on top of your plan: the price you select is the whole amount. If you use up your plan’s included comment volume before the cycle resets, comments keep being received, classified and moderated, and AI generation (reply suggestions, automatic replies and automatic direct messages) pauses until you add volume, change plan, or the cycle resets.

Subscriptions renew automatically until cancelled. You can cancel or change your plan at any time in Settings; changes take effect according to the terms shown there. Except where required by law, payments are non-refundable. We may change prices with reasonable notice, effective on your next billing cycle.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by iQreply and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. All rights not expressly granted are reserved.

8. Third-party services

The Service relies on third parties such as Meta, Stripe, Anthropic and our hosting providers. Your use of those services through iQreply may be subject to their own terms, and we are not responsible for their acts or omissions.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or suitable for your purposes.

10. Limitation of liability

To the maximum extent permitted by law, iQreply and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless iQreply from claims, damages and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or of any third-party rights or policies, including Meta’s.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability and governing law) will continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida and the United States, without regard to conflict-of-laws principles. You agree that the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over any dispute that is not otherwise resolved, subject to any mandatory consumer-protection rights available to you.
